Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the website at switchautomatic.com and all services provided by Switch Automatic (“Company,” “we,” “our”), including AI automation, voice agent development, chatbot development, and workflow automation (collectively, “Services”). By accessing this website or engaging our Services, you agree to these Terms in full.

1. Company Information

Switch Automatic is a sole proprietorship registered under MSME, operating from India. We specialize in AI-powered automation solutions for businesses.

2. Scope of Services

  • AI Voice Agent Development & Deployment
  • Intelligent Chatbot Design & Integration
  • Workflow Automation & Orchestration
  • CRM Integration & Custom AI Solutions
  • AI Strategy Consulting

The scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work (SOW) or Service Agreement executed between Switch Automatic and the client prior to commencement.

3. Engagement & Payment

  • All services are quoted on a per-project basis, tailored to scope and complexity.
  • An onboarding fee is due before commencement. This covers discovery, architecture, and resource allocation.
  • Recurring fees, where applicable, are billed monthly on the agreed billing date.
  • Accepted payment methods include UPI, NEFT/RTGS, and online payment gateway (Razorpay).
  • Late payments may incur additional charges per the Service Agreement.

4. Client Obligations

  • Provide accurate information and materials required for delivery.
  • Respond to communications and approval requests promptly to avoid project delays.
  • Ensure that content, data, and materials provided do not infringe third-party intellectual property.
  • Do not reverse-engineer, redistribute, or misuse delivered systems without written consent.

5. Intellectual Property

  • Pre-existing IP, proprietary frameworks, and methodologies remain the exclusive property of Switch Automatic.
  • Upon full payment, the client receives a non-exclusive license to use the deliverables for their business operations as defined in the Service Agreement.
  • Switch Automatic may reference anonymized project details for portfolio and marketing, unless excluded via written agreement.

6. Confidentiality

Both parties commit to maintaining the confidentiality of proprietary and sensitive information exchanged during the engagement. This obligation survives termination of any Service Agreement.

7. Limitation of Liability

  • Switch Automatic shall not be liable for indirect, incidental, consequential, or punitive damages.
  • Total liability is limited to the fees paid by the client for the specific service in question.
  • We do not guarantee specific business outcomes unless explicitly stated in a written agreement.

8. Service Availability

We target 99.9% uptime for deployed systems. Scheduled maintenance, third-party outages, and force majeure events may temporarily affect availability.

9. Termination

  • Either party may terminate by providing 30 days' written notice via email.
  • The client remains liable for fees due through the notice period.
  • Immediate termination may occur in cases of material breach, non-payment, or unlawful activity.

10. Dispute Resolution

Disputes shall be resolved through good-faith negotiation. If unresolved, matters shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with proceedings seated in India.

11. Governing Law

These Terms are governed by the laws of India. Legal proceedings shall fall under the exclusive jurisdiction of Indian courts.

12. Amendments

We may update these Terms periodically. Changes take effect upon posting with an updated effective date. Continued use of our website or Services constitutes acceptance.
